Pot Noodle Beanie Air Promotion T&Cs

1. These Terms and Conditions (“T&Cs”) govern the Pot Noodle Beanie Air Promotion (the “Promotion”) and shall be applicable to all the participants to this Promotion, to the extent law permits, so please read them carefully.

2. This Promotion is open to residents of United Kingdom aged 16 or over, except employees of the Promoter, their families, agents, or anyone professionally connected with the Promotion.

How to enter

3. To enter the Prize Draw:

a.Log onto your Instagram account (or create one for free) and follow @potnoodle official Instagram account

b.Locate the Promotional Post on the @potnoodle official Instagram account.

c.The Promotional Post will contain a blurred image of ‘Pot Noodle Noel’, the Christmas edition. Entrants must guess the variant. The caption will contain a small hint. 

d.Comment your guess of the Pot Noodle flavour on @potnoodle’s Promotional post.

4. The opening date for entries is 17:00 GMT on 18/12/2024 and the closing date for receipt of entries is 17:00 GMT on 24/12/2024.

5. No purchase necessary, however, internet access and a valid Instagram account are required.

6. You must keep your Instagram profile on public setting and continue to follow @potnoodle for three (3) days after the Promotion Period in order to be contacted if you are selected as a winner.

Entry requirements

7. The Promotion is limited to one entry per person and per Instagram account of the entrant. No person may win more than one prize.

8. No applications from agents, third parties, organised groups or applications automatically generated by computer will be accepted. No incomplete or corrupted entries will be accepted. Any entrant found to be using multiple Instagram accounts to enter will be ineligible. Entries will only be accepted if they comply with all these Terms and Conditions.

9. Each entry:

a.must be suitable for display and publication online and should not be obscene or indecent (including but not limited to nudity, pornography, or profanity), it must not contain defamatory statements or words or symbols that are offensive either generally or to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group. It must not include threats to any person, place, business or group, it must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate applicable laws and regulations or network standards;

b.must not contain or refer to any products other than those of Unilever / Pot Noodle and it must not contain or reference any third party trademarks or logos (other than those of Unilever / Pot Noodle) unless such inclusion is merely incidental and is not unduly prominent and as long as it is included with due cause and in such a way that it does not take unfair advantage of any third party trademarks; and

c.must be the entrant’s own work and must not contain any copyright protected works (other than as owned by the entrant).

10. If anyone other than you appears in your entry, you must have their permission to use their name in a manner contemplated by this promotion.

11. Entries received in connection with this Promotion will be reviewed by the Promoter or a third-party moderator after they have been placed online to confirm that they comply with these Terms and Conditions. If any such entries/comments are or could reasonably be construed as being unlawful or offensive or contrary to these Terms and Conditions and or against the network guidelines, we reserve the right to  remove them from the Promotion post on Pot Noodle Instagram page immediately at any time without prior notice to entrants.

12. By participating in this Promotion, you agree to release, discharge, and hold us harmless from any and all injuries, liability, losses and damages of any kind resulting from your participation in this Promotion (save that nothing shall limit our liability for fraud, or for death or personal injury caused by our negligence).

13. If you submit an entry that includes any material or content, the rights in which are owned by a third party, including intellectual property rights such as copyright and trade marks, you will be responsible for any legal action that third-party may take against you.

14. By submitting your entry for this Promotion, you grant us a perpetual, worldwide, non-exclusive, royalty-free, sub-licensable and transferrable license to use, reproduce, distribute and make derivative works of your entry in any media and through any media channel.

15. Entrants shall defend, indemnify and hold the Promoter and their respective affiliates, directors, agents, or other partners ("the Indemnitees") harmless from any claims, actions, proceedings, costs (including reasonable legal fees) and expenses brought or asserted by a third party against any of the Indemnitees arising as a result of the Promoter's use of the entrant's submission including but not limited to any breach of third party intellectual property rights.

16. Responsibility is not accepted for entries lost, damaged, or delayed as a result of any network, computer hardware or software failure of any kind.

Prizes

17. There will be a total of 10 winners. Each winner will win 1 x Pot Noodle Beanie Hat.

18. Allocation of the prize will be at the sole discretion of the Promoter. All valid entries received through Instagram on or before the closing date will be assigned a number in order of entry and the winning number will be selected by a random number generator. In the event of any dispute, the decision of the Promoter is final. In the event of unforeseen circumstances, the Promoter reserves the right to substitute the prize for an alternative of equal or greater value. No correspondence will be entered into.

19. The prize is as aforementioned in Clause 17, and no cash or other alternatives shall l be offered. The prize is non-exchangeable, non-refundable and are not transferable. The products included within the prize will also be subject to stock/availability. The prize may not be resold under any circumstances.

Selection of winners

20. 10 x winners will be selected using a random selector from all valid entries received during the Promotion Period.

21. The winners will be notified through a direct message on Instagram to the account they entered with from the @potnoodle account within 10 days after the closing date. The prizes will be delivered by Not Just Clothing to the respective winners. The winners must claim their prize by responding to the direct message with their full name and address within 7 days of this direct message. If the prize is unclaimed after this time, it will lapse, and the Promoter reserves the right to offer the unclaimed prize to a substitute winner selected in accordance with the promotion rules.

22. The winners’ details (the first letter of their Instagram username, e.g. “@A”) may be made available on request by emailing potnoodlesocial@outlook.com and referencing “Pot Noodle Beanie Promotion ” within 2 weeks of the closing date. If you do not wish for such information about you to be made available in the event that you win the Promotion, please email potnoodlesocial@outlook.com, including the reference “Pot Noodle Beanie Promotion” not later than 7 days of being informed that you have won a prize. Please note that if the UK Advertising Standards Authority request confirmation that a valid award took place, we may share your details directly with them, as required.

23. This promotion is in no way sponsored, endorsed or administered by, or associated with, Meta. Entrants are providing information to the Promoter and not to Meta. Entrants release Meta for all claims and liabilities arising in respect of the promotion.

24. By entering the promotion, all entrants will be deemed to have accepted and be bound by the rules and consent to the transfer of their personal data to the Data Controller for the purposes of the administration of this promotion and any other purposes to which the entrant has consented.  The personal data will be processed in accordance with the Data Controller’s Privacy Policy, which is available at https://www.unilevernotices.com/privacy-notices/united-kingdom-english.html. All entry instructions form part of the rules.

25. These terms and conditions and any issues or disputes which may arise out of or in connection with these terms and conditions (whether such disputes or issues are contractual or non-contractual in nature, such as claims in tort, for breach of statute or regulation or otherwise) shall be governed by and construed in accordance with English law. Entrants hereby irrevocably submit to the exclusive jurisdiction of the English courts to settle any such dispute or issues.
